1. Acceptance of Terms

By registering for, accessing, or using the services provided by Irbis Solutions Inc. (“Irbis”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not register or use our services.

These Terms and Conditions apply to all users of the Invisible Witness access-management and gate-control system and any related services.

2. Definitions

In these Terms and Conditions:

  • “Services” means the Invisible Witness access-management, registration, and gate-control systems provided by Irbis Solutions Inc.
  • “Account Holder” means any individual who registers for or holds an account on the Services, including organization administrators and reader accounts.
  • “Organization” means the customer organization that authorizes your account and operates the gates and sites you manage or access. The Organization determines why personal information is collected and is responsible for it; Irbis provides the system and processes it on the Organization’s behalf.
  • “Credentials” means your account credentials, registration code, surrogate ID, license plate, and any other access identifiers issued to you.
  • “Personal Information” means information about an identifiable individual handled through the Services, including names, email addresses, phone numbers, vehicle licence plates, and access-event records.
  • “Access Event” means any recorded instance of entry, exit, or attempted access at a gate or controlled point.
3. Registration and Account

To use our Services, you must complete registration and provide accurate, current, and complete information. Accounts are created against an Organization’s registration code, are assigned a default role, and may be adjusted or approved by an Organization administrator. You agree to:

  • Provide truthful and accurate information at the time of registration
  • Promptly update your information if it changes
  • Keep your Credentials confidential and not share them with any other person
  • Notify us immediately if you believe your Credentials have been compromised
  • Accept responsibility for all activity that occurs through use of your Credentials

We reserve the right to suspend or terminate your access if we believe your registration information is inaccurate, outdated, or incomplete.

4. Permitted Use

You may use the Services solely for lawful purposes and in accordance with these Terms. You agree not to:

  • Use your Credentials to allow access by any person other than yourself, unless expressly authorized in writing
  • Attempt to circumvent, disable, or interfere with any access control, security feature, or authentication mechanism
  • Use the Services in any manner that could damage, overload, or impair our systems or infrastructure
  • Reproduce, duplicate, copy, sell, or exploit any portion of the Services without our express written consent
  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Provide false information to obtain access to any site or system
5. Account Holder Responsibilities & Data Handling

Invisible Witness provides the system through which your Organization manages access to its gates and sites; Irbis processes Personal Information on the Organization’s behalf and on its instructions. If your role allows you to view or manage other people’s Personal Information (such as name, email, phone number, or licence plate), you agree that you will:

  • Use that Personal Information solely for access management and related security and operational purposes;
  • Not disclose it to, or share account access with, anyone outside your Organization;
  • Not sell, rent, trade, or otherwise make it available to any third party, or use it for any purpose unrelated to access management;
  • Keep it confidential, and report any suspected loss or unauthorized access without delay;
  • Ensure that credential holders are informed of the collection and use of their information.

How personal information is collected, used, and protected is described in our Privacy Policy.

6. Access Rights and Restrictions

Access granted through our Services is:

  • Personal and non-transferable — it cannot be assigned or delegated to another individual
  • Conditional — it may be suspended or revoked at any time if these Terms are breached or access is no longer authorized
  • Limited — it applies only to the specific sites, gates, and times for which you have been authorized
  • Subject to audit — all Access Events are logged and may be reviewed by us or authorized administrators

We reserve the right to modify, restrict, or revoke your access at any time, with or without notice, at our sole discretion.

7. Notifications and Communications

By registering, you consent to receive operational notifications via the contact details you provide, including:

  • Access confirmations and alerts
  • System maintenance and outage notices
  • Changes to these Terms or our policies
  • Administrative communications related to your account

You may opt out of non-essential communications by contacting us, but operational notifications necessary for the Services cannot be disabled while your account remains active.

8. Intellectual Property

All content, software, systems, and materials forming part of the Services are owned by or licensed to Irbis Solutions Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose only. Nothing in these Terms transfers any intellectual property rights to you.

9. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • The Services will be uninterrupted, error-free, or available at all times
  • Gate or access systems will operate without technical failure
  • Any particular level of security will be maintained at all times

To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or in connection with these Terms or the Services shall not exceed the amount paid for the Service in the preceding 12 months.

10. Indemnification

You agree to indemnify, defend, and hold harmless Irbis Solutions Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Services
  • Your breach of these Terms and Conditions
  • Your violation of any applicable law or regulation
  • Any false or misleading information provided during registration
11. Termination

The gate operator may suspend or terminate your access and registration at any time, with or without cause, including if we believe you have violated these Terms. Upon termination:

  • Your Credentials will be deactivated and access revoked
  • Your personal information will be retained in accordance with our Privacy Policy and applicable law
  • Provisions of these Terms that by their nature should survive termination will continue to apply

You may request termination of your account at any time by contacting us at the address below.

12. Governing Law and Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services is subject to the exclusive jurisdiction of the courts of British Columbia.

Before initiating any legal proceedings, you agree to first contact us in good faith to attempt to resolve the dispute informally.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. When we make material changes, we will post the updated terms with a revised effective date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
